General Terms and Conditions of Sale

Article 1 – Definitions

These General Terms and Conditions of Sale (hereinafter the "Terms") are offered by L2XMA.

In the text below:

"Website": the website "https://helorya.com" and all of its pages, the exclusive property of the Company.

"Products" or "Services": all products (physical goods) and services that can be purchased or accessed on the Website.

"Seller": Helorya, the legal entity or natural person offering its Products or Services on the Website.

"Customer": an internet user, whether a natural or legal person, who purchases Product(s) or Services on the Website.

"Consumer": in accordance with the definition in the applicable regulations, any natural person acting for purposes that are outside their trade, business, craft or profession.

Any internet user visiting the Website with an interest in the Products and Services offered is invited to read these Terms carefully, and to print or save them on a durable medium before placing an order. The Customer confirms that they have read and fully accept these Terms.

Article 2 – Application of the Terms and purpose of the Website

The Seller reserves the right to amend the Terms at any time by publishing a new version on the Website. The Terms applicable to the Customer are those in force on the date of their order. The Website offers the online sale of home products. Access to the Website is free of charge. The purchase of a Product or Service implies full acceptance of these Terms, for example by ticking the relevant box. This action has the same value as a handwritten signature. By ticking the box, the Customer confirms that they have the legal capacity to enter into a contract. If the Customer is a minor, they declare that they have the consent of their legal guardian.

Article 3 – Customer Service

Customer service is available by email at contact@helorya.com or by post at the address given in the Legal Notice. The Customer should state their first name, surname, the subject of their request and their order number in the email. For business enquiries (partnerships, media, contractual offers), please contact the Company solely at contact@helorya.com.

Article 4 – How to order and description of the purchasing process

The Products and Services offered are those listed in the catalogue published on the Website. Photographs on the Website are for illustration only and may differ slightly from the actual products. The Customer selects Products by adding them to the "Basket", the contents of which can be modified at any time. On the "Basket" page, the Customer can review and correct their order. On the "Information" page, they enter their contact details. On the "Delivery" page, they choose a delivery method. On the "Confirmation" page, they enter their payment details and billing address, and a discount code if applicable. The sale is validly concluded once the Customer clicks the "Complete order" button, accepts the Terms and makes payment.

Article 5 – Prices and payment methods

Prices are shown in pounds sterling (£), inclusive of any applicable VAT. Helorya reserves the right to adjust prices at any time, the price applicable to the Customer being the one in force on the date of the order. Payment can be made by card, Apple Pay, Google Pay or PayPal through secure transactions. The Website has no access to the Customer's payment details — payment is processed directly by the bank or the payment service provider. Helorya archives orders and invoices on a reliable medium as a faithful copy.

Article 6 – Delivery

Delivery costs are communicated to the Customer before payment. The Website has no geographical delivery restriction — orders can be shipped worldwide. The delivery times indicated are estimates and depend on any delays by postal services or other exceptional circumstances. For deliveries outside the United Kingdom, the Customer declares that they are the importer of the goods and acknowledges that customs duties and import taxes cannot be precisely calculated in advance. The Seller undertakes to deliver the Products within thirty (30) days of conclusion of the contract at the latest, unless otherwise stated.

For deliveries received in person, the Customer may refuse the parcel in the event of anomalies (damaged goods, missing items), which must be noted on the delivery slip together with their signature. For deliveries to a letterbox, the Customer should check the parcel immediately and contact Helorya customer service in the event of any anomaly. If the parcel is returned to the Seller, the Customer will be offered a refund minus shipping costs or a re-shipment, at the Customer's choice.

Article 7 – Right of withdrawal and withdrawal form

The Consumer has the right to withdraw from the contract within fourteen (14) days of receiving the Product. The Product may have been used. The cost of returning the goods is borne by the Customer. We recommend using a tracked delivery service. The refund will be made using the same payment method that the Customer used for the purchase, within 14 days of receipt of the Product at the latest.

Article 8 – Product warranty

All goods purchased on this Website are covered by your statutory rights. Under the Consumer Rights Act 2015, goods must be of satisfactory quality, fit for purpose and as described. If the goods do not conform to the contract, you are entitled to the remedies provided by law, which may include repair, replacement or a refund. Where repair or replacement is chosen, it must not impose disproportionate costs. In addition, a commercial warranty of 60 days from the date of purchase applies to parts under normal conditions of use, excluding defects caused by external factors. This commercial warranty is in addition to, and does not affect, your statutory rights.

Article 9 – Liability

Helorya is not liable for any failure to perform the contract caused by force majeure. The choice and purchase of a Product or Service is the sole responsibility of the Customer. Helorya is not liable for any direct or indirect damage arising from the use of the Website, its unavailability, the incorrect configuration of the Customer's device, or the content of external links.

Article 10 – Force majeure

Force majeure means events beyond the control of the parties that could not reasonably have been foreseen or overcome and that make it impossible to perform their obligations. The occurrence of force majeure automatically suspends performance of the order. If force majeure lasts more than ninety (90) calendar days, either party may cancel the order by recorded delivery letter with acknowledgement of receipt. Neither party is entitled to compensation in such a case, unless the parties agree otherwise.

Article 11 – Intellectual property rights

All elements of the Website are the property of the Seller or of a third party and are used with their consent. All texts, comments, illustrations and images are protected by copyright, trade mark law and patent law. Any reproduction, distribution or other use — even partial — is strictly prohibited without the prior written consent of the Company. A Customer who infringes intellectual property rights may have their account terminated immediately, without entitlement to compensation, and may be subject to further legal proceedings.

Article 12 – Processing of personal data

The Company collects the Customer's data in order to process and track the order, to contact the Customer about the Company's matters, and to improve the Website and Products. The data is processed by contractual providers and by Shopify Inc. and is kept for a maximum of 5 years. The Customer has the right to access, rectify, erase or object to their data, which can be exercised at contact@helorya.com.

Article 13 – User comments and suggestions

By sending comments or suggestions to the Company, the Customer grants the Company an unrestricted right to edit, copy, publish, distribute and use them in any medium. The Company is under no obligation to keep them confidential, to pay any compensation for them, or to respond to them. The Customer undertakes that their comments will not infringe the rights of any third party, will not be unlawful, abusive or obscene, and will not contain any harmful software.

Article 14 – Severability

If any provision of these Terms is found to be unlawful or unenforceable, it will be deemed severable from the other provisions, which will remain valid. These Terms replace all prior written or oral agreements.

Article 15 – Governing law and dispute resolution

These Terms are governed by the laws of England and Wales. Nothing in these Terms affects the statutory rights you have as a consumer under UK law, which cannot be excluded or limited.

In the event of a dispute, the Customer is encouraged to contact Helorya customer service first, in writing, so that an amicable solution can be sought. If no agreement is reached, the dispute will be subject to the jurisdiction of the courts of England and Wales.

The Website reserves the right to bring legal proceedings in the event of a fraudulent purchase or a purchase made with a stolen or counterfeit card.
